OF RESEARCH AND DEVELOPMENT CENTER
OF THE CARPATHIAN REGION
“KARPATHY-USA”
1. GENERAL PROVISIONS
1.1. Research and Development Center
of the Carpathian region “Karpathy-USA” (hereinafter referred to as the
Center) is a non-profit organization established on principles of
volunteerism and common interests of its members, to carry out purposes
and tasks specified in this Statute.
1.2. In its activities, the Center conforms to the Constitution of
Ukraine, current legislation of Ukraine, and this Statute.
1.3. The Center is a juridical entity since the moment of its
registration. It has own independent balance of payments, bank
accounts, official letterheads with its own name, logotype, and other
requisites, approved by the Administrative Board of the Center and
registered in the way defined by the legislation of Ukraine.
1.4. Main activities area covers Ivano-Frankivsk region.

2. GOALS AND OBJECTIVES
2.1. Mission of the Center is to
unite efforts of all tourism industry employees to fulfill their legal,
professional, and social rights and interests that would carry out
research and promote the development of the tourist industry in the
Carpathian region, especially in the mountainous areas.
2.2. To achieve this goal, the Center carries out the following
activities:
- conducts necessary research and analysis of the new tendencies
that effect tourism development that contributes to strategic planning
of tourism industry
- conducts scientific, specialty training programs and seminars on
topics of economy, entrepreneurship, social and legal framework;
- organizes scientific and practical conferences, seminars, round
table discussions;
- attracts grants and other financial resources from international
donor organizations to help develop tourism industry in the Carpathian
region;
- creates and maintains a database on latest tourist developments
in the region;
- provides legal and consulting services on topics of business
planning and foreign direct investment into tourist industry of the
region;
- develops and analyzes business-plans;
- monitors quality and safety standards of tourism services;
develops professional tourism standards;
- engages in direct marketing to promote tourism in the region;
- publishes materials based on its scientific research.
2.3. To meet these goals and
objectives the Center exercises such rights as:
- conducts commercial activities and establishes accounting and
transaction system which complies with the laws of Ukraine;
- establishes contacts with other non-profit and international
tourism organizations according to the laws of Ukraine;
- conducts publishing and marketing activities on the
non-for-profit basis with a purpose to join efforts of other tourist
entities and promote principles of safe tourism standards in the
region;
- conducts other activities which comply with the laws of Ukraine
and do not contradict with this Statute;
- exercises other rights defined in the Ukrainian legislation.
3. MEMBERSHIP, MEMBERS RIGHTS AND
RESPONSIBILITES
3.1 Membership in the Center is open
for individual and groups.
3.2. Individual members of the Center are: citizens of Ukraine;
citizens of foreign countries; individuals without citizenship who are
21 years old, share goals and objectives of the Center, recognize the
Statue of the Center and are ready to comply with the above-mentioned;
3.3. Eligible entities for group Membership are: small businesses;
organizations and other entities; other non-for-profit and public
organizations which comply with the Statute of the Center and help on
volunteer basis upon consent;
3.4. Membership decisions are made by the Administration Board of the
Center on the basis of written application (for individual members) or
decision of the staff meeting of the
institution/enterprise/organization wishes to enroll (for group
members);
- on the basis of written application (for individual members) or
on the basis of decision of staff meeting of the
institution/enterprise/organization (for group members);
- upon the decision of Administration of the Center, in case of
violation of current legislation or this Statute.
3.5. Cancellation of the Membership occurs when:
- written request is submitted to the Administration Board of the
Center;
- activities are conducted that do not comply with the Statute of
the Center which harm its reputation or do not comply with the laws of
Ukraine. Administration Board decision can be appealed to the city
council. Decision of the city council is final.
3.6. Members of the Center have the
rights to:
- vote and be elected to the Administration Board of the Center;
- participate in organizational and plenary activities of the
Center;
- use Center’s resources to conduct work related to its mission,
goals and objectives;
- propose own amendments related to the Center’s activities;

- support the Center financially by volunteer donations and
contributions.
3.7. Members of the Center are obliged to:
- comply with the Statute of the Center;
- comply with the final decisions of the Administration Board of
the Center;
- assist the Center in its activities;
- pay membership fees in a timely manner.
4. STRUCTURE AND MANAGEMENT
4.1. Highest managing authority of
the Center is the General Assembly of all of its members which is set
to meet no more than once a year unless determined otherwise. Time and
place of such meetings is to be determined by the Administration Board
Members. To meet more than once a year, 2/3 of votes is required;
General Assembly:
- approves Statutory changes and amendments;
- reviews and approves programs and activities of the Center;
- elects the Administration Board Members (3 people for a 5-year
term), the Governing Council members (3 people); the Head of the Board
and the Head of the Governing Council;
- revises and approves final reports of the Administration Board
Members;
- adopts decisions on restructuring of the Center or termination of
its activities;
- ÐDecisions of the General Assembly are legitimate, if adopted by
more than 50% of the participant members. Decisions are adopted by a
majority open vote unless other procedure is determined by this
Statute.
4.2. termediary governing body is the
Administration Board. It is set to meet no less than once in two months
unless determined otherwise. Decisions of the Administration Board are
legitimate, if adopted by a majority of participating members.
Administration Board:
- implements decisions of the General Assembly;
- organizes meetings of the General Assembly;
- enrolls new members;
- maintains and distributes financial resources;
- approves organizational structure of the Center;
- reviews other issues as determined by the General Assembly.
4.3. The Head of the Administration
Board of the Center:
- carries and introduces the organization in its interaction with
the government agencies, civil unions, small businesses, other
non-for-profit organizations, international organizations and business
entities, foreign and domestic residents and non-residents;
- conducts general management of the Center;
- prepares and calls the meetings of the General Assembly;
- disburses financial resources and property of the Center as
determined by the General Council;
- controls logistical support/works as a human resource officer;
- has the right to sing and release financial and other records;
- opens/closes bank accounts.
4.4. Governing Council:
- controls Statute implementation;
- checks activities of the members;
- audits financial records of the Center or invites and independent
auditor, if determined necessary;
- reviews financial and logistical activities.
Decisions of the Governing Council are adopted by a simple majority of
the votes. The Governing Council is set to meet no less than once a
year.
4.5. The Administration Board and the
Governing Council have the right to create and additional bodies to
implement the provisions of this Statute, if determined necessary.
5. FINANCES AND PROPERTY OF THE CENTER
5.1. The property of the Center is
generated by:
- membership fees;
- volunteer donations of the members of the organization;
- volunteer donations and contributions of the labor unions, small
businesses, business entities, other non-for-profit organizations,
domestic and foreign citizens and organizations;
- grants and other international technical assistance;
- resources from publishing, scientific, logistical activities;
- passive revenues;
- subsidies.
5.2. ÓProperty of the Center may
include: buildings, constructions, transport vehicles, logistics and
informational resources, financial resources, also in foreign currency,
and other property legally authorized for ownership under current
legislation.
5.3.Finances of the Center are being disbursed to implements norms and
provisions defined in this Statute and to pay wages and salaries to its
employees.
5.4. Terms and procedures of financial disbursements and allocations of
the Center is being controlled and regulated by its Administration
Board and the Governing Council in accordance to current legislation
requirements.
5.5. Right to designate the sole property of the Center is reserved for
the Governing Council Members only. Partial logistical functions to
designate property may be conducted by other members as determined by
the Governing Council.
5.6. The Center, and its regional offices, if any, must conduct current
financial accounting and statistical reports of its activities. They
must be registered with the local tax administration authorities and
pay taxes according to the procedure and amounts determined by the
current legislation.
6. TERMINATION OF ACTIVITIES OF THE CENTER
6.1. Termination of activities of the
Center takes place by its reorganization or liquidation, if this
decision is adopted by 2/3 of the votes of the General Council Members;
6.2. Liquidation of the Center is carried out upon the court decision.
6.3. Liquidation of the Center is carried out by the liquidation
commission appointed by an entity which adopted such a decision.
6.4. In case of its liquidation, finances and property of the Center
must not be distributed among its members. They must be used to carry
out statutory decisions or charity contribution. In cases determined by
the legislative acts or by a court decision, they may be directed to
the budget of Ukraine.
7. INTRODUCTION OF CHANGES AND
AMENDMENTS TO THE STATUTE
7.1. ÇIntroduction of changes and
amendments to this Statute takes place upon decision of the General
Council Members adopted by a simple majority of participants.
7.2. Any changes to the Statute of the Center must be reported to its
registering body within five business days.
